You need to let her know how much you care for her and how much she means to you. Ask her to talk out her feelings with you, try to find out why she feels the way she does. Do things that she usually enjoys with her and use them to convince her that her life is worth living, but don't do it quite upfront so as to avoid losing her trust.

If she's already made a plan, then you need to tell a trusted adult, and show them whatever evidence you can (ex. e-mails, chat logs, text messages). Your friend needs to be placed on suicide watch (doesn't necessarily have to be in a hospital setting... just so long as there are adults who can constantly keep an eye on her and get her the help she needs). This is something that you can't handle on your own.

If she is just depressed then you just have to keep her up-beat and happy by focasing on and doing fun things when you are around her, but you can't help her alone, if she is really considering/planning suicide then you need to tell someone like her parents who can be around her all the time and get her proffesional help.
She is lucky to have a friend like you, best of luck.
